Terms for professionals (No Darkness Pro)

Last updated 10 October 2026

Short answer

No Darkness Pro is the portal for professionals who buy lighting for their clients or projects. You register with a valid VAT number, get one discount percentage on the recommended retail price and see net prices excluding VAT. You can create catalogues with your own logo and share them with your clients. Because you buy as a business, the right of withdrawal and the legal guarantee for consumers do not apply; the rules for businesses set out below do.

Who do these terms apply to?

These terms apply to the use of No Darkness Pro and to every order, quotation and delivery via No Darkness Pro between No Darkness BV (Anjelierenlaan 29, 8900 Ieper, België, enterprise number 0821.787.463, VAT BE 0821.787.463), hereinafter “we”, and the business that holds a Pro account, hereinafter “you”. You use Pro in the course of your trade or business: as an installer, architect, interior fit-out contractor, building contractor, shopfitter or other professional.

For anything not covered here, our general terms and conditions apply, except for the provisions that the law grants only to consumers. We only accept your own general terms and conditions if we agree to them in writing.

How do you get a Pro account?

You register with your company details and a valid VAT number. We check the VAT number in the European VIES system. If you have a registration code from us, your account is active immediately, with the discount that goes with that code. Without a code, you submit an application; we review it and let you know whether your account will be activated. We may refuse an application if we cannot verify that you are professionally active in a sector that works with lighting.

Your account is personal to your business. You choose a password of at least 12 characters and keep it secret. Whatever happens with your account is your responsibility; if you suspect misuse, let us know immediately.

Which prices do you see in Pro?

You see net prices excluding VAT. The net price is the recommended retail price of a product in the nodarkness.be webshop excluding VAT, minus your discount percentage. You have one discount percentage that applies to all products, unless we agree otherwise in writing.

Recommended retail prices follow the manufacturers’ price lists and can therefore change. An order is governed by the price we communicate to you when confirming that order. We may adjust your discount percentage for a valid reason, for example if a brand’s purchasing terms change; we will let you know in advance by email, and it does not change anything for orders already confirmed.

Your net prices and your discount percentage are confidential. Do not share them with third parties.

How do you order?

Online ordering in No Darkness Pro is not yet open. Until then, you can request a quotation or an order via franky@nodarkness.be. An order is only binding once we confirm it in writing, with the products, the prices, the delivery terms and the payment method.

As soon as online ordering opens, an order is concluded when you confirm it in Pro and we accept it; you receive a confirmation of it by email. If you enter a list of EAN codes or item numbers and a code matches more than one product, we ask you which product you mean instead of choosing ourselves.

How do you pay?

You pay in advance via Mollie, or on invoice if we have agreed that for your account. You pay an invoice no later than the due date stated on it. We send invoices electronically; Belgian VAT-registered businesses receive them as structured e-invoices via the Peppol network, as the law has required since 1 January 2026.

If you do not pay an invoice on time, the statutory interest for commercial transactions (the reference rate of the European Central Bank plus 8 percentage points) and a fixed compensation of 40 euros for recovery costs are due without formal notice, in accordance with the Act of 2 August 2002 on combating late payment in commercial transactions. As long as an overdue invoice remains unpaid, we may postpone new deliveries.

For deliveries in Belgium we charge Belgian VAT. For deliveries to a business in another member state of the European Union with a valid VAT number, we apply the rules for intra-Community supplies.

The delivered products remain our property until paid in full.

How does delivery work?

We deliver to the address you give with the order. Delivery times are an estimate based on what the manufacturer tells us. If a delivery is delayed, we let you know; if the delay is unacceptable to you, you can cancel the products concerned as long as they have not yet been shipped.

Risk passes to you at the time of delivery. On receipt, check the number of packages and the packaging. Report visible damage, missing products or an incorrect delivery within 5 working days of delivery, with photos. A defect you could not see during a normal inspection must be reported as soon as possible after you discover it.

Can you return products?

As a professional you have no statutory right of withdrawal. We only take back a correctly delivered product with written agreement, if it is unused and comes back in its original, undamaged packaging, at your expense. We may charge a fee for handling and repackaging costs; we agree this with you in advance. Products made to measure or specially for your project are not taken back.

Which guarantee applies?

We warrant that products conform to the order and are free from hidden defects, in accordance with the rules of the Civil Code on sales between businesses. You report a hidden defect to us within a short period after discovering it. If a manufacturer has its own guarantee, we help you enforce it.

If a product is defective, we repair or replace it, or credit it if that is not possible. You install the products according to the manufacturer’s instructions and the applicable installation regulations, such as the AREI in Belgium or NEN 1010 in the Netherlands. Damage caused by incorrect installation, an unsuitable dimmer or power supply, or an application for which the product is not intended, is not covered by the guarantee.

Our liability is limited to the invoiced amount of the product concerned. We are not liable for indirect damage, such as loss of profit or extra working hours. These limitations do not apply in the event of intent or gross negligence on our part, in the event of personal injury, or where the law does not permit a limitation.

What may you do with the catalogue builder?

In Pro you can put together catalogues with our products, with your own logo, colour and prices, and print them or share them with your clients via a link. A shared catalogue is hosted on a separate domain and does not mention No Darkness anywhere.

  • You are the seller towards your client. What you offer in a catalogue and at what price is your responsibility, including compliance with the rules on price indication towards consumers, such as prices including VAT.
  • Product photos and texts may only be used to present our products to your clients in your catalogues and quotations. You leave brand names and product data unchanged and do not use the material for other purposes.
  • Your logo must be yours, or you must be entitled to use it. You give us the right to display it in your catalogues. We convert every logo into a simple image.
  • We may take a catalogue offline if it breaches the law or these terms. If your account ends, your shared catalogues end too.

What data do we keep about your use of Pro?

We keep track of what you do in Pro: which products you view, your searches, your cart, your catalogues and how often a shared catalogue is opened, without knowing by whom. This lets us follow up your account and help you more effectively. To help you with a question, our staff can temporarily view Pro as you see it; they cannot order, change or save anything while doing so. More on this in the privacy statement.

How do you or we close the account?

You can have your account closed at any time by emailing franky@nodarkness.be. We may close an account with 30 days’ notice, or immediately in the event of misuse, a serious breach of these terms or an overdue invoice that is still unpaid after a reminder. Orders we have already confirmed will still be carried out, unless the reason for closure makes that impossible.

Which law applies and which court has jurisdiction?

These terms and every contract via No Darkness Pro are governed by Belgian law. Disputes that we do not resolve by mutual agreement fall within the jurisdiction of the courts of the judicial district in which our registered office is located.
